Course Description

This course is a study of the law relating to the basic structure of the system by which dealings in securities are regulated. The course will focus on the Securities Act of 1933 and the Securities Exchange Act of 1934 as they relate to fundamental regulatory issues, such as what constitutes a security, the nature of controls over the distribution and trading of securities and exemptions from those controls, as well as liability for misconduct. Prerequisite: LAW 551, Business Organizations, completed or currently enrolled. Prerequisite or take concurrently: Law 551Business Organizaiton
